Who can register a company in Poland?
A foreigner who has a foreign passport can create a business on the same terms as a Polish citizen, in any organizational and legal form. Such a person can establish both an individual entrepreneur and register it with the CEIDG (if he has Ukrainian citizenship, a Polish card, a permanent residence card, a temporary residence card based on studies), and any partnership or company with capital, including a general partnership and a limited liability company, and register it in the National Court Register.
What are the forms of doing business in Poland?
Most often, our clients register a Spółka z o.o. – an analogue of the Ukrainian LLC or JDG ( jednoosobowa działystą gospodarcza) – an analogue of the Ukrainian FOP. There are also such types of public business in Poland as Limited Partnership, Joint Stock, Joint Stock-Limited Partnership and others. There is also the possibility of cooperation with a Business Incubator. Each of these types has its own advantages and disadvantages. What taxes (tax rates) exist in Poland?
For Sp. z o.o. – this is a 9% tax on income up to 2 million euros per year and 19% for income over 2 million euros per year. There are also benefits – “Estonian CIT” – 0% taxation under certain conditions for Sp. z o.o. (our specialists can tell you more about it). There are different types of taxes, but the main ones for JDG – 12% for income up to 120,000 PLN per year, and 32% for income over 120,000 PLN per year. And 19% – if you do not choose an income limit. For the IT sector there are the following taxes – 5% (IP BOX), 8.5%, 12% and 15% – depending on the type of activity and services.
How to get PESEL
– PESEL is an eleven-digit digital symbol that allows for easy identification of a person. The PESEL number includes the date of birth, serial number, gender and control number. – A citizen of Ukraine who has legally entered Poland from February 24, 2022 directly from the territory of Ukraine will receive a PESEL after submitting an application to any Polish commune office. The application can be filled out by the applicant or an office employee based on the data provided by the applicant. Other foreigners, as well as citizens of Ukraine who arrived before February 24, 2022, can receive a PESEL during registration or by submitting a contribution to the relevant Uzhend.
How to open a company with Hello Poland
  1. You can come to Poland or we can open a company remotely.
  2. You sign a contract with us (for this you need an e-mail) to which you will receive a letter containing the contract that you need to sign.
  3. After that, we will receive a copy of the contract by mail.
  4. Payment to the company's account (full or 50% advance).
  5. Send:
    • “Certification” (notarized confirmation of identity and signature);
    • Power of attorney for the execution of all documents for opening your company;
    • Agreement for obtaining an electronic signature (analogous to the Ukrainian EDS, with which you will sign documents for registration, as well as financial documents, reports, contracts).
  6. We prepare and fill out all the documents necessary for company registration. (for this you do not have to be a Polish citizen and have a residence permit). The only thing you need is a passport.
  7. Registration:
    • Checking the company name, preparing a list of activities in accordance with PKD (selection of KVEDs);
    • Drawing up constituent documents: contracts, decisions of the constituent meeting/board;
    • Payment of registration fees;
    • After that, the documents are sent to the court and the registrar. We are waiting for their response;
    • Registration of the LLC in the State Register of Enterprises (KRS), in the tax inspectorate, in the statistical authorities;
    • Obtaining the taxpayer identification number NIP and statistical number REGON;
    • Payment of the tax on the minimum authorized capital;
    • We submit preliminary documents to the bank for opening an account and then you come to Poland.
  8. Payment of the second part, if 100% was not paid immediately.
  9. Conclusion of a virtual office rental agreement (legal address).
  10. Opening an account at the Bank.
  11. Development and production of a seal.
  12. Sign an agreement for servicing your company with an accountant (ours or yours).
